Terms of Service
This agreement (the “Agreement”) is entered into between Yakubu Ibrahim Muhammad (referred to as the “Designer” or the “Service Provider”) and the client (referred to as the “Client” or “You”) for the provision of UI/UX design and web development services. By engaging the services of the Designer, you agree to the following terms and conditions:
The Designer/Developer acknowledges that all designs, concepts, codes, wireframes, mockups, and finalized designs created by the Designer/Developer during the project remain the intellectual property of the Designer. Upon full payment for the services rendered, the Designer/Developer grants the Client a non-exclusive, non-transferable license to use the designs solely for the specified project(s). The Client agrees not to reproduce or resell the designs without the explicit written permission of the Designer/Developer, but can modify further to suite their needs.
The Client agrees to pay the Designer/Developer the agreed-upon fees for the services rendered. Payment shall be made according to the mutually agreed-upon schedule, with a % down payment required prior to project initiation. Invoices for maintenance, additional features, or any other services beyond the scope of the original project will be issued separately and are due upon receipt.
The Designer/Developer may offer maintenance and support services beyond the completion of the initial project, subject to separate agreement and payment. Any requests for maintenance or additional features beyond the scope of the original project will be subject to additional charges, to be agreed upon in writing by both parties. The Designer/Developer reserves the right to decline or postpone maintenance or feature enhancement requests if they are deemed outside the scope of the original agreement or if they may compromise the integrity of the project.

The Designer/Developer agrees to keep all confidential information disclosed by the Client during the project confidential and will not use or disclose it to any third party without the Client’s written consent. b. The Client agrees to provide all necessary information, materials, and access required to complete the project accurately and in a timely manner.
The Client agrees to indemnify and hold the Designer/Developer harmless against any claims, losses, damages, liabilities, costs, or expenses arising from the use of the designs, services, or any breach of this Agreement by the Client.
The Designer/Developer will make reasonable efforts to deliver high-quality designs, codes and services. However, the Designer/Developer shall not be held liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the use or inability to use the designs or services provided.
Either party may terminate this Agreement with written notice if the other party materially breaches any provision of this Agreement. In the event of termination, the Client shall pay the Designer for all services rendered up to the termination date.
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Designer/Developer operates. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in the same jurisdiction.
By engaging the services of the Designer/Developer, you acknowledge that you have read, understood, and agreed to the terms and conditions outlined in this Agreement.
